Catalyst Genie Terms and Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Catalyst AI Labs, a Partnership firm duly organised under the laws of India, having its registered office at No. 4, Ground Floor, Thimmaiah Road, Near Congress Committee, Bengaluru – 560001, Karnataka, India ("Company", "we", "us", or "our"), governing your access to and use of the website https://www.catalystgenie.ai/, the Catalyst Genie application, and all related software, features, and services (collectively, the "Service" or "Catalyst Genie").

By creating an account, accessing, browsing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

These Terms apply to all visitors, registered users, subscribers, and any other persons who access or use the Service (each, a "User").

• "Account" means the unique profile created by a User to access and use the Service.
• "Content" means any data, text, information, files, or materials submitted, uploaded, or generated by a User or the Service.
• "Pilot Program" means any beta, trial, early-access, or pilot testing phase of the Service offered by the Company from time to time.
• "Subscription" means a paid plan granting access to defined features of the Service for a specified period.
• "Third-Party Services" means payment processors, analytics providers, and other services integrated with or linked to the Service.

The Service is intended solely for individuals who are at least eighteen (18) years of age and who possess the legal capacity to enter into a binding contract under the Indian Contract Act, 1872. By using the Service, you represent and warrant that you meet these eligibility requirements. If you are using the Service on behalf of an organisation or business entity, you represent that you have the authority to bind that entity to these Terms.

• You must provide accurate, current, and complete information during registration and keep such information updated.
• You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account.
• You must notify us immediately at adnan@catalystgenie.ai of any unauthorised use of your Account or any other breach of security.
• The Company reserves the right to suspend or terminate any Account that provides false, inaccurate, or misleading information.

Catalyst Genie is a Software-as-a-Service ("SaaS") platform accessible via web and/or mobile application, offering [describe core product functionality, e.g., AI-powered workflow, business automation, or productivity tools] to registered Users. The Company reserves the right to modify, enhance, suspend, or discontinue any feature of the Service, in whole or in part, at any time, with or without notice, and shall not be liable for any such modification, suspension, or discontinuation.

Catalyst Genie may currently be offered, in whole or in part, as a Pilot Program to select Users for evaluation and feedback purposes. Users participating in the Pilot Program acknowledge and agree that:

• The Service may be incomplete, contain errors, bugs, or inconsistencies, and may not function as intended.
• Features, pricing, and payment mechanisms – including the choice of payment gateway/processor – are subject to change without prior notice as the Company finalises its commercial offering.
• The Company may collect feedback, usage data, and performance metrics during the Pilot Program to improve the Service.
• Pilot Program access may be modified, limited, or revoked at the Company's sole discretion at any time.

Certain features of the Service are offered on a paid subscription basis ("Paid Services"). By subscribing to a Paid Service, you agree to pay all applicable fees as displayed at the time of purchase, in the currency specified.

• Payments are processed through a third-party payment gateway/processor engaged by the Company from time to time (currently under evaluation as part of our pilot testing phase). By making a payment, you also agree to the terms and privacy policy of the applicable payment processor.
• All fees are exclusive of applicable taxes (including GST), unless stated otherwise, and such taxes shall be added to the invoice as required by law.
• Subscriptions may renew automatically at the end of each billing cycle unless cancelled prior to the renewal date, where auto-renewal is enabled.
• The Company reserves the right to change subscription pricing at any time, with reasonable prior notice to existing subscribers before such changes take effect on their next billing cycle.
• Failure to pay applicable fees may result in suspension or termination of access to Paid Services.

You may cancel your Subscription at any time through your Account settings or by writing to adnan@catalystgenie.ai. Cancellation will take effect at the end of the then-current billing cycle, and you will continue to have access to the Paid Service until such date.

Refunds: Refund requests are evaluated by the Company on a case-by-case basis, taking into account factors such as the reason for the request, extent of usage of the Service, and the applicable subscription terms at the time of purchase. To request a refund, please contact us at adnan@catalystgenie.ai with your Account details and the reason for your request. The Company reserves sole discretion in approving or denying any refund request, and approved refunds, if any, will be processed to the original payment method within a reasonable time.

Nothing in this clause shall affect any non-waivable statutory rights available to you as a consumer under applicable Indian law.

You agree that you shall not, and shall not permit any third party to:

• Use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation;
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service;
• Introduce viruses, malware, or other harmful code, or attempt to gain unauthorised access to the Service or its related systems or networks;
• Use any automated means (bots, scrapers, crawlers) to access the Service without our prior written consent;
• Resell, sublicense, rent, lease, or otherwise commercially exploit the Service without prior written authorisation from the Company;
• Upload or transmit any Content that is defamatory, obscene, infringing, or that violates the rights of any third party.

All rights, title, and interest in and to the Service, including all software, source code, designs, logos, trademarks (including "Catalyst Genie"), text, graphics, and other content created by the Company (excluding User Content), are and shall remain the exclusive property of the Company and its licensors. Nothing in these Terms grants you any right, title, or interest in such intellectual property except a limited, non-exclusive, non-transferable, revocable licence to access and use the Service in accordance with these Terms.

You retain ownership of any Content you submit, upload, or generate through the Service ("User Content"). By submitting User Content, you grant the Company a worldwide, non-exclusive, royalty-free licence to host, store, process, and display such User Content solely for the purpose of operating, providing, and improving the Service. You represent and warrant that you have all necessary rights to submit such User Content and that it does not infringe any third-party rights.

The Service may integrate with or contain links to third-party websites, payment processors, or services that are not owned or controlled by the Company, including analytics providers such as Google Analytics. The Company does not endorse and is not responsible for the content, privacy practices, or terms of any third-party services. Your interactions with such third parties are solely between you and them.

Each party agrees to protect the confidential information of the other party disclosed in connection with the Service using the same degree of care it uses to protect its own confidential information, and in no event less than a reasonable degree of care, and shall not disclose such information to any third party without prior written consent, except as required by law.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA. GIVEN THAT THE SERVICE MAY BE OFFERED AS PART OF A PILOT PROGRAM, THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS PARTNERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. THE COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO THE COMPANY FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify, defend, and hold harmless the Company, its partners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any third-party rights.

The Company may suspend or terminate your access to the Service, in whole or in part, at any time, with or without cause or notice, including for any actual or suspected violation of these Terms. You may terminate your Account at any time by contacting us at adnan@catalystgenie.ai. Upon termination, your right to use the Service shall immediately cease, and provisions of these Terms which by their nature should survive termination (including Sections 10, 13, 14, 15, and 16) shall survive.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Subject to any mandatory arbitration or consumer-forum rights available under applicable law, the courts at Bengaluru, Karnataka, India shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.

The parties agree to first attempt to resolve any dispute amicably through good-faith negotiation for a period of thirty (30) days before initiating any formal legal proceedings.

The Company reserves the right to modify or update these Terms at any time at its sole discretion. Material changes will be notified to Users via the Service or by email at least seven (7) days prior to the changes taking effect. Continued use of the Service after such changes constitutes your acceptance of the revised Terms.

All notices under these Terms shall be provided in writing and sent to the Company at adnan@catalystgenie.ai or to the address mentioned above, or to Users via the email address or contact details registered with their Account.

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Service.
• Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: No waiver of any provision shall be deemed a further or continuing waiver of such provision or any other provision.
• Assignment: You may not assign or transfer these Terms without the Company's prior written consent. The Company may assign these Terms without restriction.
• Force Majeure: The Company shall not be liable for any failure or delay in performance due to causes beyond its reasonable control.
